As used in this section entitled "Terms & Conditions", Immihelp shall refer to Immihelp.com web site.

The terms of this contract apply to any advertiser/advertisement placed on the Immihelp web site and/or promotional material, even if such advertiser/advertisement is not accompanied by a copy of this contract. This contract will have precedence over any and all advertiser/agency insertion orders or order forms, whether signed by the advertiser/agency or not. By placing advertising on the Immihelp web site and/or promotional material, advertiser/agency agrees to be bound by the terms of this contract.

The advertiser and its agency, if there is one, each represents that it is the owner or is licensed to use the entire contents and subject matter contained in its advertising and collateral information, including: (a) the names and/or pictures of persons; (b) any copyrighted material, trademarks and/or depiction's of trademarked goods or services; (c) any testimonials or endorsements contained in any advertisement submitted to Immihelp and published. Advertiser shall indemnify and hold Immihelp harmless from any loss, liability, damage and expense of any nature (including reasonable attorney's fees) based on any claims of intellectual property infringement arising out of Advertiser's advertisement. In addition, Immihelp shall indemnify and hold Advertiser harmless from any loss, liability, damage and expense of any nature (including reasonable attorney's fees) based on any intellectual property claims arising out of any content on Immihelp's web pages not supplied by Advertiser. Except for Customer's advertisement, Customer acknowledges that all copyright interests in the published or distributed material, supplied by Immihelp, shall remain with Immihelp. If customer possesses any preexisting copyright interests in the advertisements, customer grants Immihelp the right to use, reproduce and distribute the advertisements, subject to the terms of this Agreement.

Immihelp reserves the right, without liability, to reject, omit or exclude any advertisement for any reason at any time, with or without notice to the advertiser or agency, and whether or not such advertisement was previously acknowledged, accepted or published. Immihelp does not accept sexually related advertising or advertising that points or links to a site offering sexually inappropriate material. Same applies to anti-immigration advertisements. Immihelp is the final judge as to these terms.

Immihelp shall not be liable for errors in content or omissions. Except for Immihelp's indemnification obligation described in Paragraph 3, Immihelp's liability shall be limited to the fees received by Immihelp in the event of an error in the advertisement. Under no circumstances will Immihelp be liable for loss of income or profits or any consequential damages.

Advertising and collateral materials accepted for inclusion must be accompanied by a contract signed by the authorizing parties. This contract cannot be sold, assigned or transferred to any party besides the party named as "Advertiser."

Cancellations or copy changes in orders will not be accepted after the published closing date of the update to the Immihelp site. Any cancellations must be made in writing and acknowledged by Immihelp in writing. Cancellations of advertising contracts must be made 30 days in advance of cancellation date.

No conditions other than those set forth herein shall be binding on Immihelp unless specifically agreed to in writing by Immihelp. Immihelp will not be bound by conditions printed or appearing on order blanks or copy instructions submitted by or on behalf of the advertiser.

Immihelp will not be liable for any delays in delivery and/or non-delivery in the event of an act of God, action by any government entity, transportation, strike, network difficulties, electronic malfunction, etc. or any condition beyond the control of Immihelp affecting production or delivery in any manner.

Payment is due to Immihelp 100% in advance before the beginning of the advertisement. Advertiser/Agency will be billed monthly and is expected to pay 100% of total contract to Immihelp at the start of the said contract. (Payee name will be given to the advertiser.) Immihelp shall have the right to hold the advertiser and/or its agency or agent jointly and severally liable for such monies. Payment is due and payable on publication of the advertisement. No agency/advertiser insertion orders may overwrite the intent and terms of this contract. If payments are not timely made, Immihelp at its option, may terminate the Contract.

Immihelp reserves the right to change these terms and conditions of advertising on its web site at any time.
